首先应携带盖有企业法人章和法定代表人人名章的委托协议书，然后按如下法定程序指导企业办理。
一、公司权力机构作出决议或决定：公司减少注册资本，在有限责任公司，须经代表2/3以上表决权的股东决议通过；在国有独资公司，必须由国有资产监督管理机构决定，其中，重要的国有独资公司的减资，由国有资产监督管理机构审核后，报本级人民政府批准。在股份有限公司，须经代表2/3以上表决权的股东决议通过。
